The PRI submitted a comment on the Securities and Exchange Commission’s (SEC) proposal to raise the large accelerated filer threshold to $2 billion, eliminate the accelerated filer and smaller reporting company categories, and extend to all non-accelerated filers the disclosure, attestation, and shareholder-voting accommodations currently reserved for the smallest issuers and emerging growth companies.
The PRI recommended that the SEC preserve the executive compensation disclosures, the say-on-pay vote, and the ICFR auditor attestation for the companies from which the Proposal would withdraw them, and to reconsider the proposed thresholds.
